Page 2 August 14, 2014 Companies restructure to separate print, TV Political ads need disclaimer G annett Co. announced its plan to create two publicly traded companies – one focused on broadcasting and digital and the other on publishing. Gannett expects the publishing business will be virtually debt-free after the separation, with all of Gannett's existing debt retained by the broadcasting and digital company. The publishing company, which will retain the Gannett name, is expected to be listed for trading on the New York Stock Exchange and will remain headquartered in McLean, Virginia. Gannett provides content through its flagship brand USA Today and 81 local U.S. daily publications and other print products. Indiana Gannett newspaper properties include The Indianapolis Star, the Journal & Courier (Lafayette), The Star Press (Muncie) and the Palladium-Item (Richmond). Gannett's broadcasting and digital company, which has yet to be named, will also remain headquartered in McLean and will trade on the New York Stock Exchange. The broadcasting arm includes 46 TV stations the company owns or services. Gannett has also signed an agreement to acquire full ownership of Cars.com. Gannett will acquire the 73 percent interest it does not already own in Classified Ventures LLC, which owns Cars.com, for $1.8 billion. MEMBER NOTICES Reporter – An entry-level reporting position. Scripps Co. and Journal Com- munications have agreed to merge their broadcast operations and spin off and then merge their newspapers, creating two separately traded public companies. The newspaper company will be called Journal Media Group and will combine Scripps' daily newspapers – including the Evansville Courier & Press in Indiana – community publications, and related digital products in 13 markets with Journal Communications' Milwaukee Journal Sentinel, Wisconsin community publications and affiliated digital products. The company, with expected annual revenue of more than $500 million and about 3,600 employees, will be headquartered in Milwaukee. The merged broadcast and digital media company, based in Cincinnati, will retain The E.W. Scripps Co. name, and the Scripps family shareholders will continue to have voting control. The company will have about 4,000 employees across its television, radio and digital media operations and is expected to have annual revenue of more than $800 million. The Scripps and Journal Communications boards of directors have approved the stock- for-stock transactions, which are subject to customary regulatory and shareholder approval. The deal is expected to close in 2015. Gannett also announces acquisition of Cars.com Scripps print arm will be called Journal Media H SPA reminds news- papers that state law requires political advertising to contain infor- mation identifying the person or entity authorizing or paying for the advertise- ment. This includes advertising that advocates for the election or defeat of a political can- didate. (See IC 3-9-3-2.5.) The actual disclaimer language depends on who paid for the ad and whether a candidate or a candidate's committee authorized it: • If the candidate or his or her committee pays for the ad, it must clearly state that fact. • If the ad was paid for by someone else but authorized by the candidate or his or her committee, then the ad must clearly state who paid for it and who authorized it. • If the ad was paid for by someone else but not authorized by any candidate or committee, the ad must clearly state who paid for the ad and that the ad was not authorized by any candidate or committee. State law doesn't require an entity to include the name of any individual associated with a candidate's committee. However, HSPA recommends, particularly on local ads, the inclusion of a president's or treasurer's name when the advertisement is purchased by an entity. This gives a potential unhappy target of the ad a name to go after if a libel lawsuit is contemplated, so that perhaps the newspaper won't be included as a defendant. If there's no president or treasurer name on the ad, then the would-be plaintiff is forced to sue the newspaper to obtain the name of the person that the plaintiff really wants. You may not be able to apply this policy with statewide or federal races because they may be preparing multi-county ad programs, but the libel danger isn't as great because those campaigns are generally more sophisticated and run by individuals who understand the liability of potential libel as it relates to political campaigns.
