Rutherford Regional Health System (RRHS) has entered into a new agreement that will advance efforts to enhance health care in Rutherford County and surrounding regions for years to come. RRHS's Board of Trustees today announced it has signed a defi nitive agreement with Duke LifePoint Healthcare to jointly own and operate RRHS. The joint venture, which is subject to review by the Attorney General of North Carolina, will bring $60 million in capital improvements to RRHS over the next decade. "We are pleased to have reached this phase of the joint venture proceedings. Once the Attorney General has reviewed our agreement, we look forward to completing the fi nal closing process to make our partnership offi cial," said Matt Bright, chairman of the RRHS Board of Trustees. "In exploring this collaboration during the due diligence process, our team has become even more excited about becoming part of Duke LifePoint. This joint venture offers Rutherford Regional opportunities not only to expand and enhance the care we provide, but also to transform health care provided throughout this region." In September, RRHS and Duke LifePoint signed a memorandum of understanding, which allowed them to engage in a due diligence process to explore a joint venture and negotiate the terms of a defi nitive agreement. Under the terms of the agreement, Duke LifePoint will own 80 percent of the joint venture, while RRHS will retain a 20 percent ownership stake. Governance will be shared equally between RRHS and Duke LifePoint, giving the community a long-term voice in the health system's strategic direction. "This joint venture offers tremendous benefi ts to Rutherford Regional, our employees, physicians and communities," said Cindy Buck, chief executive offi cer of RRHS. "Becoming part of Duke LifePoint will provide us with clinical and operational resources to strengthen our health system, helping us to better meet the evolving health care needs in this region. It also will ensure local involvement as we grow and expand the care we provide." As outlined in the defi nitive agreement, the joint venture will invest $60 million in capital improvements at RRHS over the next 10 years, including new equipment and technology and facility renovations. The retained assets and proceeds from the transaction will allow RRHS to pay off its debt. The remaining proceeds, more than $30 million, will be used to fund projects to meet community health and wellness needs. "Duke LifePoint is committed to partnering with community hospitals to strengthen their ability to provide excellent health care close to home," said LifePoint Chairman and Chief Executive Offi cer William F. Carpenter III. "As a Duke LifePoint hospital, Rutherford Regional will have access to resources to enhance quality care, reduce operational costs, recruit physicians, offer new opportunities for employees, and invest in its future." As part of Duke LifePoint, RRHS will become a taxpaying organization, providing an important source of new tax revenue to support the local economy. "Rutherford Regional Health System plays an important role in the health and well-being of Rutherfordton and surrounding communities," said William J. Fulkerson, Jr., M.D., executive vice president of Duke University Health System. "We look forward to the opportunity for us to work together to improve health care in this region." Hundreds of children and youth need fi nancial assistance to attend South Mountain Christian Camp each year, and this is an easy way to help raise funds to meet that need. All you have to do is eat at Zaxby's in Forest City between 5 and 8pm Tuesday, May 6. At the end of the event, 10% of all sales made during this time will be donated to South Mountain Christian Camp. Funds received will be used to sponsor kids to come to Camp during the summer. Just think, a child's life can be changed forever at Camp, and you can provide the means to make that possible just by eating at Zaxby's! If you don't have time to stop in for a meal, you can use the drive-thru. ALL sales during this time count toward the fundraiser. If you can't make it to this event, but would like to make a donation, go to www. southmountainchristiancamp.org or by mail to SMCC, PO Box 9, Bostic NC 28018. The SMCC staff will be there to talk and answer any questions you may have about our ministry.
